These Terms of Use (β€œTerms”) constitute a legally binding agreement between you, whether personally or on behalf of an entity (β€œCustomer”, β€œyou”), and 9421-4921 QuΓ©bec inc., doing business as doclinc technologies (β€œdoclinc”, β€œwe”, β€œus”, β€œour”), governing your access to and use of the doclinc Services, including doclinc for Outlook.

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
IF YOU DO NOT AGREE, YOU MUST DISCONTINUE USE IMMEDIATELY.

‍1. Services
1.1 Provision
‍
These Terms govern access to and use of the Services and associated Software ordered through an Order Form.

‍1.2 Modifications
‍
doclinc may modify or update the Services. If a modification materially reduces core functionality, doclinc will notify Customer. Customer may terminate within thirty (30) days of such notice.
This provision does not apply to Beta Services.

‍1.3 Software
(a) License Grant

doclinc grants Customer a limited, non-exclusive, non-transferable license to use the Software solely in connection with the Services.
‍(b) Open Source Components
Open-source components are governed by their respective licenses.

‍1.4 Service-Specific Terms
‍
Certain features may be governed by additional Service-Specific Terms.

‍1.5 doclinc Rights
‍
doclinc may monitor, suspend, restrict, or remove access to the Services or Customer Data where reasonably necessary for:

β€’ Compliance
β€’ Service integrity

‍1.6 Third-Party Services
‍
doclinc is not responsible for third-party services.

‍2. Intellectual Property Rights
2.1 Reservation of Rights
‍
doclinc retains all rights, title, and interest in the Services, Software, and Materials.
No ownership rights are transferred.

‍2.2 Limited Permission
‍
Customer grants doclinc rights necessary to deliver the Services.

‍3. Customer Obligations
‍
Customer agrees to:
β€’ Maintain accurate account information
β€’ Protect authentication credentials
β€’ Prevent unauthorized access
β€’ Use Services lawfully

‍3.1 Authentication Credentials
‍
Customer is responsible for safeguarding credentials.

‍3.2 Unauthorized Use
‍
Customer must notify: support@doclinc.io

‍
3.3 Restrictions
‍
Customer shall not resell, reverse engineer, or misuse the Services.

‍3.4 Acceptable Use
‍
Customer warrants lawful use of Customer Data.

‍4. Data
4.1 Processing of Customer Data
‍
doclinc processes Customer Data solely:
β€’ To provide the Services
β€’ To ensure security
β€’ To comply with legal obligations

‍4.2 Backup & Retention
‍
Customer remains responsible for backup and legal retention obligations.
doclinc is not liable for Customer Data loss.

‍4.3 Aggregated / Anonymized Data
‍
doclinc may generate anonymized and aggregated data for analytics, security, and product improvement.

‍4.4 Compliance
‍
Customer is responsible for compliance with applicable data protection laws.

‍4.5 Data Transfers
‍
Customer Data may be processed outside Customer’s jurisdiction subject to safeguards.

‍5. Feedback
‍
Customer assigns doclinc rights to Feedback.

‍6. Fees & Payment
6.1 Fees
‍
Customer agrees to pay all applicable Fees as specified in the Order Form.
Unless otherwise stated:
β€’ Fees are non-refundable
β€’ Except where required by law

‍6.2 Billing & Payment Processing
‍
Customer authorizes doclinc (or its payment processor, including Stripe) to charge the selected payment method for:
β€’ Subscription Fees
β€’ Renewals
β€’ Additional Services
β€’ Applicable taxes

Customer is responsible for maintaining valid billing information.

‍6.3 Taxes
‍
Fees exclude applicable taxes. Customer is responsible unless exemption applies.

‍6.5 Auto-Renewal & Trials
‍
If Customer provides a payment method for recurring charges, the subscription will automatically renew at the end of each billing cycle unless cancelled prior to the renewal date.

For subscriptions initiated through a trial or freemium period:
β€’ Charges may apply automatically at the end of the trial
β€’ Unless cancelled before expiration

Where billing is processed through Stripe, renewals and transactions may be handled via Stripe.
Customer may disable auto-renewal by:
β€’ Cancelling via β€œManage Subscription”, or
β€’ Contacting support@doclinc.io

Cancellation stops future renewals but does not affect charges already incurred.
Renewal charges are based on doclinc’s then-current pricing.

‍7. Subscription Term
‍
Subscriptions renew automatically unless terminated.

‍8. Termination
8.1 Termination by Customer
‍
Customer may terminate the Services by:
β€’ Providing written notice to support@doclinc.io, or
β€’ Cancelling via the Customer administration interface (β€œManage Subscription”), where available

Where subscriptions are managed through Stripe, cancellation may be completed via the Stripe billing portal.
Unless otherwise specified:
β€’ Termination takes effect at the end of the billing period
β€’ Fees paid are non-refundable
β€’ Except where required by law

‍8.2 Termination by doclinc
‍
doclinc may suspend or terminate Services for breach, non-payment, or legal obligation.

‍8.3 Effect of Termination
‍
Upon termination:
β€’ Access rights cease
β€’ Data retrieval may be limited
β€’ Data may be deleted per policy

‍9. Representations & Warranties
‍
Customer warrants lawful use.

‍10. Disclaimer of Warranties
‍
THE SERVICES ARE PROVIDED β€œAS IS”.

‍11. Limitation of Liability
‍
doclinc’s aggregate liability shall not exceed the Fees paid by Customer during the twelve (12) months preceding the event giving rise to the claim.

‍12. Indemnification
‍
Customer indemnifies doclinc.

‍13. Governing Law
‍
These Terms are governed by the laws of Quebec, Canada.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Montreal, Quebec.

‍16.4 Force Majeure
Neither party liable for events beyond reasonable control.

16.6 Independent Contractors
No partnership or agency relationship created.

17. Definitions
β€œAdministrator”
means an End User designated to administer the Services.
β€œCustomer Data”
means all data uploaded or transmitted via the Services.
β€œEnd User”
means an individual authorized to use the Services.
β€œFees”
means amounts payable under an Order Form.
β€œOrder Form”
means ordering document or subscription interface.
β€œServices”
means doclinc products, platforms, Software, and Materials.
β€œSoftware”
means doclinc-provided applications or code.
β€œSub-processor”
means third party processing Customer Data on doclinc’s behalf.‍
