These Terms of Use (βTermsβ) constitute a legally binding agreement between you, whether personally or on behalf of an entity (βCustomerβ, βyouβ), and 9421-4921 QuΓ©bec inc., doing business as doclinc technologies (βdoclincβ, βweβ, βusβ, βourβ), governing your access to and use of the doclinc Services, including doclinc for Outlook.

βBy accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

β1. Services
1.1 Provision
βThese Terms govern access to and use of the Services and associated Software ordered through an Order Form.
β1.2 Modifications
βdoclinc may modify or update the Services. If a modification materially reduces core functionality, doclinc will notify Customer. Customer may terminate within thirty (30) days of such notice.
This provision does not apply to Beta Services.
β1.3 Software
(a) License Grant
doclinc grants Customer a limited, non-exclusive, non-transferable license to use the Software solely in connection with the Services.
β(b) Open Source Components
Open-source components are governed by their respective licenses.
β1.4 Service-Specific Terms
βCertain features may be governed by additional Service-Specific Terms.
β1.5 doclinc Rights
βdoclinc may monitor, suspend, restrict, or remove access to the Services or Customer Data where reasonably necessary for:
β’ Security
β’ Compliance
β’ Service integrity
β1.6 Third-Party Services
βdoclinc is not responsible for third-party services.
β2. Intellectual Property Rights
2.1 Reservation of Rights
βdoclinc retains all rights, title, and interest in the Services, Software, and Materials.
No ownership rights are transferred.
β2.2 Limited Permission
βCustomer grants doclinc rights necessary to deliver the Services.
β3. Customer Obligations
βCustomer agrees to:
β’ Maintain accurate account information
β’ Protect authentication credentials
β’ Prevent unauthorized access
β’ Use Services lawfully
β3.1 Authentication Credentials
βCustomer is responsible for safeguarding credentials.
β3.2 Unauthorized Use
βCustomer must notify: support@doclinc.io
β3.3 Restrictions
βCustomer shall not resell, reverse engineer, or misuse the Services.
β3.4 Acceptable Use
βCustomer warrants lawful use of Customer Data.
β4. Data
4.1 Processing of Customer Data
βdoclinc processes Customer Data solely:
β’ To provide the Services
β’ To ensure security
β’ To comply with legal obligations
β4.2 Backup & Retention
βCustomer remains responsible for backup and legal retention obligations.
doclinc is not liable for Customer Data loss.
β4.3 Aggregated / Anonymized Data
βdoclinc may generate anonymized and aggregated data for analytics, security, and product improvement.
β4.4 Compliance
βCustomer is responsible for compliance with applicable data protection laws.
β4.5 Data Transfers
βCustomer Data may be processed outside Customerβs jurisdiction subject to safeguards.
β5. Feedback
βCustomer assigns doclinc rights to Feedback.
β6. Fees & Payment
6.1 Fees
βCustomer agrees to pay all applicable Fees as specified in the Order Form.
Unless otherwise stated:
β’ Fees are non-refundable
β’ Except where required by law
β6.2 Billing & Payment Processing
βCustomer authorizes doclinc (or its payment processor, including Stripe) to charge the selected payment method for:
β’ Subscription Fees
β’ Renewals
β’ Additional Services
β’ Applicable taxes
Customer is responsible for maintaining valid billing information.
β6.3 Taxes
βFees exclude applicable taxes. Customer is responsible unless exemption applies.
β6.5 Auto-Renewal & Trials
βIf Customer provides a payment method for recurring charges, the subscription will automatically renew at the end of each billing cycle unless cancelled prior to the renewal date.
For subscriptions initiated through a trial or freemium period:
β’ Charges may apply automatically at the end of the trial
β’ Unless cancelled before expiration
Where billing is processed through Stripe, renewals and transactions may be handled via Stripe.
Customer may disable auto-renewal by:
β’ Cancelling via βManage Subscriptionβ, or
β’ Contacting support@doclinc.io
βCancellation stops future renewals but does not affect charges already incurred.
Renewal charges are based on doclincβs then-current pricing.
β7. Subscription Term
βSubscriptions renew automatically unless terminated.
β8. Termination
8.1 Termination by Customer
βCustomer may terminate the Services by:
β’ Providing written notice to support@doclinc.io, or
β’ Cancelling via the Customer administration interface (βManage Subscriptionβ), where available
Where subscriptions are managed through Stripe, cancellation may be completed via the Stripe billing portal.
Unless otherwise specified:
β’ Termination takes effect at the end of the billing period
β’ Fees paid are non-refundable
β’ Except where required by law
β8.2 Termination by doclinc
βdoclinc may suspend or terminate Services for breach, non-payment, or legal obligation.
β8.3 Effect of Termination
βUpon termination:
β’ Access rights cease
β’ Data retrieval may be limited
β’ Data may be deleted per policy
β9. Representations & Warranties
βCustomer warrants lawful use.
β10. Disclaimer of Warranties
βTHE SERVICES ARE PROVIDED βAS ISβ.
β11. Limitation of Liability
βdoclincβs aggregate liability shall not exceed the Fees paid by Customer during the twelve (12) months preceding the event giving rise to the claim.
β12. Indemnification
βCustomer indemnifies doclinc.
β13. Governing Law
βThese Terms are governed by the laws of Quebec, Canada.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Montreal, Quebec.

βInformal resolution first. No class actions where enforceable.

βOrder Formβ means ordering document or subscription interface.
βServicesβ means doclinc products, platforms, Software, and Materials.
βSoftwareβ means doclinc-provided applications or code.
βSub-processorβ means third party processing Customer Data on doclincβs behalf.β
