These Terms of Use (βTermsβ) constitute a legally binding agreement between you, whether personally or on behalf of an entity (βCustomerβ, βyouβ), and 9421-4921 QuΓ©bec inc., doing business as doclinc technologies (βdoclincβ, βweβ, βusβ, βourβ), governing your access to and use of the doclinc Services, including doclinc for Outlook.

βBy accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

β1. Services
1.1 Provision
βThese Terms govern access to and use of the Services and associated Software ordered through an Order Form.
β1.2 Modifications
βdoclinc may modify or update the Services. If a modification materially reduces core functionality, doclinc will notify Customer. Customer may terminate within thirty (30) days of such notice.
This provision does not apply to Beta Services.
β1.3 Service Availability
The Services may be temporarily unavailable due to maintenance, upgrades, technical incidents, or events beyond doclincβs reasonable control.
doclinc does not guarantee uninterrupted or error-free operation of the Services.
β1.4 Software
β
βLicense Grant
doclinc grants Customer a limited, non-exclusive, non-transferable, revocable license to use the Software solely in connection with the Services.
Open Source Components
Certain components of the Software may include open-source software governed by their respective licenses.
β1.5 doclinc Rights
βdoclinc may monitor, suspend, restrict, or remove access to the Services or Customer Data where reasonably necessary to:
β’ protect the security or integrity of the Services
β’ prevent unauthorized access, abuse, or misuse
β’ comply with legal or regulatory obligations
β1.6 Third-Party Services
βThe Services may integrate with or rely upon services provided by third parties.
doclinc is not responsible for the availability, functionality, or privacy practices of such third-party services.
β2. Intellectual Property Rights
2.1 Reservation of Rights
βdoclinc retains all rights, title, and interest in the Services, Software, and Materials, including all related intellectual property rights.
Customer retains ownership of Customer Data.
No ownership rights in the Services or Software are transferred to Customer under these Terms.
β2.2 Limited Permission
βCustomer grants doclinc the rights necessary to host, process, and transmit Customer Data solely for the purpose of delivering the Services.
β3. Customer Obligations
βCustomer agrees to:
β’ maintain accurate account information
β’ safeguard authentication credentials
β’ prevent unauthorized access to accounts
β’ use the Services in compliance with applicable laws
β3.1 Account Responsibility
βCustomer is responsible for all activities conducted under its accounts and for maintaining the confidentiality of authentication credentials associated with the Services.Customer is responsible for safeguarding credentials.
β3.2 Unauthorized Use
βCustomer must promptly notify doclinc of any unauthorized use of the Services by contacting:
support@doclinc.io
β3.3 Restrictions
βCustomer shall not:
β’ resell or sublicense the Services
β’ reverse engineer or attempt to extract source code
β’ misuse or disrupt the Services
β3.4 Acceptable Use
βCustomer agrees not to use the Services to:
β’ distribute malware, malicious code, or harmful software
β’ transmit unlawful, harmful, or infringing content
β’ engage in phishing, fraud, or deceptive practices
β’ interfere with the integrity, security, or performance of the Services
doclinc may suspend or restrict access to the Services in response to violations of this section.
β4. Data
4.1 Processing of Customer Data
βdoclinc processes Customer Data solely:
β’ to provide the Services
β’ to ensure security and system integrity
β’ to comply with legal and regulatory obligations
β4.2 Customer Responsibility for Customer Data
βCustomer is solely responsible for the content, legality, reliability, and appropriateness of all Customer Data transmitted through the Services.
doclinc does not review or monitor Customer Data and assumes no responsibility for such content.
β4.3 Aggregated / Anonymized Data
βdoclinc may generate anonymized and aggregated data derived from Customer Data for purposes such as analytics, security monitoring, and product improvement.
Such data will not identify Customer or any individual End User.
β4.4 Backup and Retention
βCustomer remains responsible for its own backup procedures and for complying with applicable legal retention obligations.
doclinc is not liable for the loss of Customer Data.
β4.5 Data Transfers
βCustomer Data may be processed outside Customerβs jurisdiction subject to safeguards.
β5. Security
βdoclinc implements industry-standard safeguards designed to protect the security of the Services and Customer Data.
However, no method of transmission over the Internet or electronic storage can be guaranteed to be completely secure.
β6. Fees & Payment
6.1 Fees
βCustomer agrees to pay all applicable Fees as specified in the Order Form.
Unless otherwise stated:
β’ Fees are non-refundable
β’ Except where required by law
β6.2 Billing & Payment Processing
βCustomer authorizes doclinc (or its payment processor, including Stripe) to charge the selected payment method for:
β’ Subscription Fees
β’ Renewals
β’ Additional Services
β’ Applicable taxes
Customer is responsible for maintaining valid billing information.
β6.3 Taxes
βFees exclude applicable taxes.
Customer is responsible for paying all applicable taxes unless a valid exemption applies.
β6.5 Auto-Renewal & Trials
βSubscriptions may automatically renew at the end of each billing cycle unless cancelled prior to renewal.
If a trial or freemium period applies, charges may begin automatically at the end of the trial unless cancelled beforehand.
Customer may disable auto-renewal by:
β’ cancelling via Manage Subscription, or
β’ contacting support@doclinc.io
β
βCancellation prevents future renewals but does not affect previously incurred charges.
β7. Subscription Term
βSubscriptions automatically renew unless terminated in accordance with these Terms.
β8. Termination
8.1 Termination by Customer
βCustomer may terminate the Services by:
β’ providing written notice to support@doclinc.io, or
β’ cancelling through the Customer administration interface, where available
Termination takes effect at the end of the current billing period.
β8.2 Termination by doclinc
βdoclinc may suspend or terminate Services if:
β’ Customer breaches these Terms
β’ payment obligations are not met
β’ continued operation would violate applicable law
β8.3 Effect of Termination
βUpon termination:
β’ Access rights cease
β’ Data retrieval may be limited
β’ Customer Data may be deleted in accordance with applicable policies
β9. Representations & Warranties
βCustomer represents and warrants that its use of the Services complies with applicable laws and regulations.
β10. Disclaimer of Warranties
βTHE SERVICES ARE PROVIDED βAS ISβ AND βAS AVAILABLEβ, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
β11. Limitation of Liability
βIn no event shall doclinc be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of revenue, loss of data, or business interruption.
doclincβs aggregate liability shall not exceed the Fees paid by Customer during the twelve (12) months preceding the event giving rise to the claim.
β12. Indemnification
βCustomer agrees to indemnify and hold harmless doclinc from claims arising from Customerβs use of the Services or violation of these Terms.
β13. Governing Law
βThese Terms are governed by the laws of Quebec, Canada.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Montreal, Quebec.

β15. Dispute Resolution
βThe parties agree to attempt to resolve disputes informally before initiating formal legal proceedings, where permitted by law.

βCustomer may not assign these Terms without prior written consent from doclinc.

β16.4 Force Majeure
Neither party shall be liable for failure to perform due to events beyond reasonable control.

If any provision of these Terms is held invalid, the remaining provisions shall remain in full force and effect.

16.6 Independent Contractors
Nothing in these Terms creates a partnership, joint venture, or agency relationship between the parties.

Administrator
An End User designated to administer the Services.
Customer Data
All data uploaded, transmitted, or stored via the Services.
End User
An individual authorized to use the Services.
Fees
Amounts payable under an Order Form.
Order Form
The ordering document or subscription interface used to purchase the Services.
Services
doclinc products, platforms, Software, and Materials.
Software
Applications or code provided by doclinc.
Sub-processor
A third party that processes Customer Data on behalf of doclinc.β
